Affiliate Program Agreement

1. Introduction
Welcome to the Outbound Cadence Affiliate Program. This Agreement outlines the terms and conditions for participation. By registering as an affiliate, you agree to comply with these terms.
2. Definitions
- Affiliate: An individual or entity approved to participate in the Outbound Cadence Affiliate Program.
- Affiliate Link: A unique URL provided to the Affiliate for promoting Outbound Cadence services.
- Commission: The monetary compensation earned by an Affiliate for valid referrals.
- Customer: An individual or entity referred by the Affiliate who purchases Outbound Cadence services.
- SliceWP Platform: The affiliate management platform used by Outbound Cadence to track referrals and manage commissions.
3. Enrollment and Eligibility
- Application: Prospective affiliates must complete the registration form. Outbound Cadence reserves the right to approve or reject any application at its discretion.
- Eligibility: Affiliates must be at least 18 years old and comply with all applicable laws and regulations.
- PayPal Requirement: Affiliates must provide a valid PayPal email during registration, as all payouts are processed via PayPal. If an affiliate needs to change their PayPal email, they must notify Outbound Cadence immediately through the designated support channel. Failure to do so may result in delayed or missed payments. Outbound Cadence is not responsible for payment issues arising from incorrect or outdated PayPal information provided by the affiliate.
4. Affiliate Responsibilities
- Promotion: Affiliates are responsible for promoting Outbound Cadence services using ethical and legal methods.
- Prohibited Activities:
- Promoting content that is defamatory, obscene, discriminatory, or illegal.
- Engaging in fraudulent activities or misrepresenting Outbound Cadence services, including making false claims about product effectiveness or guarantees.
- Creating misleading advertisements or promotional materials.
- Bidding on Outbound Cadence trademarks or using them in domain names without prior consent.
- Using unauthorized or unethical methods to generate referrals, such as incentivizing fraudulent signups or clicks.
- Referring customers that engage in prohibited activities.
- Submitting false or fake orders (such as fictitious blast purchases) to generate commissions is strictly prohibited and will result in immediate termination from the affiliate program.
- Engaging in purposeful chargebacks or disputes intended to manipulate the system for personal gain is also prohibited and subject to immediate termination.
5. Affiliate Links and Coupons
- Usage: Affiliates will receive a unique Affiliate Link and may be assigned a coupon code offering a 20% discount for new customers’ first purchase.
- Modification: Affiliates may not alter Affiliate Links or coupon codes. Unauthorized modifications may result in termination from the program. Failure to notify Outbound Cadence of changes to PayPal email may result in delay or loss of payout.
6. Commissions and Payments
- Commission Rate: Affiliates will earn a commission of 10% on the net revenue from valid referrals.
- Recurring Residuals: Affiliates will earn a 10% commission each time a referred customer pays their subscription invoice. This commission will be automatically credited to the affiliate’s account as long as the customer remains active and in good standing.
- SliceWP Integration: All affiliate activities, including tracking referrals and calculating commissions, are managed through the SliceWP platform.
- Payment Method: Commissions are paid via PayPal. Affiliates must provide a valid PayPal email during registration to receive payments.
- Minimum Payout Threshold: Payouts will only be processed when the Affiliate’s earnings meet the minimum threshold of $75. This threshold may be adjusted at Outbound Cadence’s discretion, with notice provided to affiliates.
- Payment Schedule: Payouts are made on a quarterly basis once the minimum threshold is met. The payout threshold will be reviewed quarterly.
- Refunds and Chargebacks:
- Refunds: If a customer requests and is granted a refund for a product or service associated with an affiliate sale, the corresponding commission may be adjusted or revoked. The company reserves the right to deduct any commissions earned on refunded transactions from future affiliate payouts.
- Chargebacks: In the event of a chargeback initiated by the customer or a payment dispute, any affiliate commissions earned on the disputed transaction will be forfeited. The company reserves the right to deduct such commissions from future affiliate payments.
- Processing and Adjustment Timeframe: Refunds and chargeback-related adjustments will typically be processed within 30-60 days. However, the company reserves the right to extend this period if further investigation or verification is necessary.
7. Compliance and Disclosure
- Legal Compliance: Affiliates must comply with all applicable laws, including data protection and advertising regulations.
- Disclosure: Affiliates must clearly disclose their affiliate relationship with Outbound Cadence in all promotions, as required by the Federal Trade Commission (FTC) guidelines.
8. Term and Termination
- Term: This Agreement begins upon acceptance into the Affiliate Program and continues until terminated by either party.
- Termination: Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Upon termination, the Affiliate must cease using all promotional materials and remove Affiliate Links from their platforms.
9. Limitation of Liability
Outbound Cadence is not liable for indirect, incidental, or consequential damages arising in connection with this Agreement or the Affiliate Program. Total liability shall not exceed the total commissions paid to the Affiliate in the preceding 90 days.
10. Indemnification
Affiliates agree to indemnify and hold harmless Outbound Cadence and its affiliates from any claims, damages, or expenses arising from their participation in the Affiliate Program or breach of this Agreement.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.
12. Modification
Outbound Cadence reserves the right to modify this Agreement at any time. Affiliates will be notified of significant changes, and continued participation in the Affiliate Program constitutes acceptance of the revised terms.
13. Non-Compete Clause
During the term of this Agreement and for 90 days thereafter, the Affiliate agrees not to promote or sell services that directly compete with Outbound Cadence without prior written consent.
14. Reservation of Rights
Outbound Cadence reserves the right to deny service or terminate this Agreement with any Affiliate that promotes illegal activities, inappropriate behavior, or any content that, in Outbound Cadence’s sole discretion, is deemed harmful or objectionable. In the event of denial or termination, the Affiliate may request a review or appeal by submitting a written request within 14 days of receiving the termination notice. Outbound Cadence will review the request and provide a decision within 30 days. The decision will be final and binding.
15. SliceWP Usage and Data Tracking
- Tracking and Reporting: SliceWP will automatically track Affiliate performance, including referrals, commissions, and conversions. Affiliates can access their performance metrics through the SliceWP dashboard.
- Data Privacy: Outbound Cadence will use SliceWP in compliance with its privacy policy to ensure the secure handling of Affiliate and customer data.
16. Miscellaneous
- Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements.
- Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in effect.
By participating in the Outbound Cadence Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
